Quotations
Specifications of customers should be comprehensive and complete. Any deviation from original specifications shall result in revision by Printer of prices quoted. Quotations are based upon regular hourly rates of wages and costs of materials prevailing at date of quotation and are subject to amendment or withdrawal at any time prior to the receipt and acceptance of an uninterrupted delivery of complete order, however, in the event that an order is produced during an extended either as s result of customer delays or due to the nature of the job itself then the customer agrees that the Printer may , at the latter options in crease the price of proportion to any increase in an hourly rate of the wages and cost of materials, In such cases it is obligation of the Printer so to advise the customer within 7 days of any increase.
Sketches, Copy, Dummies
The printer retains all rights to the intellectual property contained in sketches, dummies, copy and all other material furnished by Focal Link inc. and no use of the same shall be made or idea obtained there from without compensation to Focal Link Inc. COPY must be legible and edited. An additional charge will be made whenever bad or poorly prepared copy is supplied or copy submitted in any form which prevents it from being handled.
Proof
Focal Link inc. assumes no responsibility for errors if the work is printed as per a proof returned marked OK.
Alterations
Any alternations of the work ordered which results in additional work for Focal Link inc. and is occasioned by the customer’s errors or at the customer’s request will rest in an additional charge, equal to the work and material expended charged to customer at the rate current at the time the additional work is performed.
Repairs, Changes
Trimming, mounting, special proofing similar work required on all material which are furnished by the customer including but not limited to drawings, engravings, electrotypes, and film, shall be billed the Printer’s current rate.
Color Proofing
Because of the difference in equipment and conditions between the color proof and pressroom operations a reasonable variation in color between color proof and completed job shall constitute and acceptable delivery.
Postage, Postal Cards, And Stamped Envelope
Requiring cash expenditure by Focal Link Inc. are subject to a handling charge.
All Property
Any property placed by the customer in the hands of Focal Link inc. and all merchandise that is manufactured for the customer is entirely at the customer’s risk while in the possession of Focal Link inc. the Focal Link inc. is not liable for any loss or damage thereto however caused and the customer hereby agrees to indemnify the Printer against any claims arising as a result of damage, however, and by whomever caused.
Indemnification
The customer shall indemnify and hold harmless the Printer from any or all loss, cost, expense and damages including legal fees expended on account of any and all manner of claim, demands, actions and proceedings that may be instituted against Focal Link inc. on ground alleging that the said printing violates an copy right on any proprietary right of any person, or that it contains any matter that is libelous or scandalous, or invades any person’s right to privacy or other personal rights, except to the extent that Focal Link inc. has contributed to the matter, The customer agrees, at the customer’s own expense, to promptly defend and continue the defense of any such claim, demand, action or proceeding that may be bought against Focal Link inc., provided that the focal Link inc. shall promptly notify the customer with respect thereto, and provided further that Focal Link inc. shall give to the customer such reasonable time as the exigencies of the situation may permit in which to undertake and continue defense thereof.
Delivery
Free delivery in Calgary for standard size load.
Production Schedules
Production Schedules will be established and adhered to by customer and Printer provided that neither shall incur any liability or penalty for delays due to state of war, riot, civil authority and acts of God or other causes beyond the control of customer or Printer. In additions, the Printer shall not be responsible for any damages for delay in complete due to any other reason unless otherwise agreed in writing at the time of order.
Overtime
All overtime authorized by customer shall be charged at the Printer’s overtime rate.
Artwork, Film, Photographs
When supplied by the Focal Link inc. shall remain his exclusive property unless otherwise agreed in writing at the time of order.
Standing Property
Artwork, film, engraving and photographs will not e held except by special agreement after completion of the job, and may be destroyed by Focal Link inc.
Standing Type
It is the responsibility of the customer to advise Focal Link inc. within 7 days after completion of the job, that the type is to be kept standing. Type o forms kept standing upon customer’s authorization will be subject to storage charge.
Progress Invoices
On jobs which are in process for several months, progress invoices may be submitted for work to date.
Sales Taxes
Government Sales Tax at prevailing rate are applicable on all order unless expect by Sales Tax Certificate supplied in write by the customer.
Terms
All of the payment must be received by Focal Link inc. unless otherwise indicated.
Graphic Design
We charge $50 an hour for all design time.
Printer Setup Fee
There is a standard setup fee of $35 on all orders for print setup, even if the file is supplied by the customer.
Law
The conditions and all other express terms of the contract shall be governed and construed in accordance with the laws of the Province of Alberta, unless otherwise specified in writing. A waiver by Focal Link inc. of the operation of any of these terms and conditions, or of any breach by the customer, shall not constitute of continuing wavier and Focal Link inc. retains the right to insist upon the operation of all provision hereof and to enforce his rights with respect to any subsequent breach. The printer shall be entitled to recover from the customer any expense or cost incurred, including solicitor’s costs, necessary for the collection of any amount due or over due pursuant to an invoice. These terms and conditions superseded any prior oral or written agreements relating to the subject matter hereof. No oral representations shall be minding on either Focal Link inc. or the customer.
Rush Job
There is a 30% premium on all Rush Jobs. Rush jobs will be outlined on the invoice as a rush job and must be agreed upon before production can begin.
